The European Securities and Markets Authority (ESMA) issued on 4.3.2021 Guidelines on disclosure requirements under the Prospectus Regulation. These Guidelines apply to competent authorities as defined in the Prospectus Regulation and market participants, including the persons responsible for a prospectus under Article 11(1) of the Prospectus Regulation.
According to this provision, the persons responsible for the prospectus, and any supplement thereto, shall be clearly identified in the prospectus by their names and functions or, in the case of legal persons, their names and registered offices, as well as declarations by them that, to the best of their knowledge, the information contained in the prospectus is in accordance with the facts and that the prospectus makes no omission likely to affect its import.
The purpose of these Guidelines is to help market participants to comply with the disclosure requirements set out in the Commission Delegated Regulation and to enhance consistency across the Union in the way that the Annexes to the Commission Delegated Regulation are understood. The Guidelines have been drafted pursuant to Article 16(3) of the ESMA Regulation.
The above Guidelines apply from two months after the date of their publication on ESMA’s website in all official languages of the EU.
